I'm sure I've read somewhere that you can't Opportunity Fire against Initiative actions. Is that right or am I dreaming?

Second question - IF you can't opp fire against Initiative, can you still Counter-fire against units initiating assaults in the initiative phase?

Yes, you are correct that you can not Opportunity Fire against initiative actions.
Yes you can Counter Fire against assaulters in the initiative phase as long as you are unsuppressed and have a line of fire to the enemy.

(1) yes - your right. First sentence of Opportunity fire rule on page 21 says that the inactive player may use Opportunity fire during the Command phase of the active player's turn.

(2) yes - right again. Being able to Counter-Fire is under the Initiative rules on page 10.
